These Terms of Service ("Terms") are a legal agreement between you and Carlson Tech Systems, LLC ("Company," "we," "us," or "our"). They govern your use of carlsontechsystems.com and every digital product and service the Company operates, including Movie Club (movieclub.ai). Movie Club operates as a registered doing-business-as (DBA) of Carlson Tech Systems, LLC, not as a separate legal entity, and is presently our primary product. By using carlsontechsystems.com, creating a Movie Club account, or otherwise using a Company product (each, a "Service"), you agree to these Terms. If you do not agree, do not use the applicable Service.
Movie Club is a private, invite-only application that lets a club of members schedule movie nights, track which films they've watched, rank and rate films against each other and against the club's history, and get AI-assisted recommendations from an in-app assistant called CUE. Access is by invitation: a club owner or co-owner invites people by email, or shares a one-time invite link; signing in proves who you are, but only an invitation grants you membership in a club. If the Company operates other products in the future, they are governed by these same Terms unless we publish product-specific terms.

We may suspend or terminate access for anyone who violates these Terms.
"Your Content" means anything you submit to a Service: rankings, ratings, watch history, RSVPs, comments, suggested films, and questions you ask CUE. You retain ownership of Your Content. By submitting it, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Your Content as needed to operate the applicable Service, including showing it to other members of your Movie Club club.
You are responsible for Your Content and confirm that you have the right to submit it and that it does not violate any law or any other person's rights.
CUE, Movie Club's AI assistant, and its film-catalogue enrichment features are powered by third-party AI models (currently Anthropic's Claude) and by film metadata drawn from third-party catalogues (currently The Movie Database). AI-generated recommendations, summaries, and answers may be incomplete, outdated, or simply wrong. They are provided for entertainment and convenience, not as professional, factual, or authoritative advice, and you should not rely on them as such. We may apply spending limits, rate limits, or availability restrictions to these features at any time.
Movie Club integrates with, links to, or displays information from third-party services, including Google, Facebook, SendGrid, Anthropic, The Movie Database, Twilio, and Spotify. Your use of those third parties' own services (for example, signing in with a Google account, or opening a linked Spotify playlist) is governed by their respective terms and privacy policies, not by these Terms. We are not responsible for the content, accuracy, or availability of third-party services.
Our Services, including their software, design, and the Movie Club brand, are owned by Carlson Tech Systems, LLC and protected by applicable intellectual property laws. Film titles, artwork, and metadata displayed in Movie Club's shared catalogue may be owned by their respective rights holders and are used for identification and informational purposes. Except for Your Content, you may not copy, modify, distribute, or create derivative works from a Service without our prior written permission.
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT A SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARLSON TECH SYSTEMS, LLC AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING OUT OF OR RELATED TO YOUR USE OF A SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR A SERVICE WILL NOT EXCEED FIFTY U.S. DOLLARS ($50).
You agree to indemnify and hold harmless Carlson Tech Systems, LLC from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of a Service, Your Content, or your violation of these Terms.
You may stop using a Service at any time, and may request deletion of your Movie Club account as described in our Privacy Policy. We may suspend or terminate your access to a Service at any time, with or without notice, for conduct that violates these Terms or for any other reason at our discretion. A club owner or co-owner may also remove you from a club at their discretion; this does not delete your account.
We may update these Terms from time to time. If we make material changes, we will update the effective date above and, where appropriate, notify members through the applicable Service. Continued use of a Service after a change takes effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Iowa, USA, without regard to its conflict-of-laws principles, and any dispute arising from these Terms or a Service will be subject to the exclusive jurisdiction of the state and federal courts located in Iowa.
Movie Club offers an optional SMS text-alert program in addition to email notifications. This section applies only if you opt in.
